“American Equity Firm Acquires Moneris for $2 Billion Amid Digital Sovereignty Concerns”

An American private equity firm is set to acquire Moneris, a major commerce solutions provider in Canada responsible for around one-third of the country’s payment transactions. The Royal Bank of Canada and Bank of Montreal have agreed to sell Moneris to Francisco Partners for $2 billion. Following the announcement of the deal, shares of both RBC and BMO surged, with RBC expecting to net approximately $475 million post-tax and BMO expecting around $600 million from the sale.

Despite the initial positive reactions from the companies involved, some industry analysts are expressing concerns about the potential negative impact on Canada’s digital sovereignty, especially given the ongoing trade tensions between Canada and the U.S.

Implications of the Deal

Digital sovereignty broadly refers to a nation’s or individual’s ability to maintain control over their digital assets. In September, AI Minister Evan Solomon emphasized the need for Canada to establish a sovereign digital economy that is immune to external pressures.

In the same month, a group of experts and academics penned an open letter urging Prime Minister Mark Carney to safeguard Canada’s digital sovereignty and shield the country from external influences. Sharon Polsky, President of the Privacy and Access Council of Canada, echoed these sentiments, emphasizing the importance of Canadians’ data protection.

Moneris serves thousands of businesses in Canada, processing over five billion transactions annually across more than 325,000 points of commerce. Polsky highlighted concerns that the acquisition could expose Canadians’ data to foreign governments and law enforcement agencies, potentially compromising individuals’ privacy.

Concerns over Transaction Data

The timing of the deal amid the trade tensions between Canada and the U.S. has raised fears that the vast transaction data collected by Moneris could be exploited in trade negotiations. Polsky and Independent Canadian Senator Colin Deacon both voiced apprehension about the potential misuse of Canadians’ data by the U.S. government.

Both BMO and RBC declined to provide further comments on the deal beyond their initial press releases. Moneris assured that its commitment to Canadian businesses would remain unchanged under the new ownership by Francisco Partners.

Legislation and Privacy Concerns

Polsky highlighted the inadequacy of existing legislation in protecting digital privacy in Canada, emphasizing the need for stronger safeguards. She warned of the potential consequences if a Canadian company is compelled to share data under U.S. pressure following the acquisition.

The Canadian government introduced Bill C-36, the Protecting Privacy and Consumer Data Act, aiming to overhaul the country’s private sector privacy framework and establish privacy as a fundamental right. The bill also mandates privacy impact assessments for transferring personal data outside of Canada.

While these legislative efforts are seen as steps in the right direction, Polsky criticized them for not directly addressing data retention within Canada for national security and data sovereignty purposes. Bill C-36 is the government’s latest attempt to update privacy regulations and is currently in the legislative process.

The completion of the Moneris sale is subject to regulatory approvals, including clearance under the Competition Act, and is anticipated to finalize by the end of the banks’ fiscal first quarter in 2027. Despite these developments, concerns remain about Canada’s stance on digital sovereignty and data protection.
